1. Acceptance of Terms

By accessing and using FitHub ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this Service.

2. Description of Service

FitHub is a gym management SaaS platform that provides member tracking, attendance management, payment processing, and automated reminders via WhatsApp. The Service is provided "as is" and we reserve the right to modify or discontinue the Service at any time.

3. User Accounts and Eligibility

  • You must be at least 18 years old to use this Service
  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

4. Payment Terms

4.1 Razorpay Integration

Payment processing services are provided by Razorpay. By using our Service, you agree to Razorpay's Terms of Service and Privacy Policy. We are not responsible for any errors, disputes, or charges arising from Razorpay's services.

4.2 Subscription Fees

  • Subscription fees are billed in advance on a monthly/annual basis
  • All fees are non-refundable unless otherwise stated
  • Prices are subject to change with 30 days' notice
  • Failure to pay may result in suspension of services

5. WhatsApp Business API Usage

Our Service utilizes Meta's WhatsApp Business API for sending notifications, reminders, and communications. By using our Service, you agree to:

  • Comply with Meta's WhatsApp Business and Commerce Policies
  • Only send messages to users who have consented to receive communications
  • Not use the WhatsApp API for spam, harassment, or illegal activities
  • Maintain appropriate opt-out mechanisms for recipients
  • Accept that Meta may suspend or terminate access for policy violations

6. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Upload or transmit viruses, worms, or any other harmful code
  • Interfere with the proper functioning of the Service
  • Collect or store personal data about other users without their consent
  • Use the Service to send spam or unsolicited communications

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of FitHub and its licensors. The Service is protected by copyright, trademark, and other laws. You may not reproduce, distribute, modify, or create derivative works from any portion of the Service without our prior written consent.

8. Limitation of Liability

In no event shall FitHub, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers; (iii) any interruption or cessation of transmission to or from the Service.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. FitHub makes no representations or warranties of any kind, express or implied, as to the operation of the Service, or the information, content, or materials included therein. You expressly agree that your use of the Service is at your sole risk.

10. Indemnification

You agree to defend, indemnify, and hold harmless FitHub and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party rights.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time by contacting us.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Bangalore, Karnataka, India.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
